These Terms apply from the date shown when this version was published in Tavazi.
1Who we are and who you are
We are Individual Entrepreneur Sandro Tskhvariashvili, e-mail info@tavazi.ge. We are an individual entrepreneur registered in Georgia and are not registered for VAT.
You are the business that runs a hotel, guesthouse, apartment or other accommodation and has signed up for Tavazi. Before your first invoice, you enter your legal form, identification number and legal address in the account settings, and you keep your details correct.
You use Tavazi for your business, so you are not a consumer under the Law of Georgia on the Protection of Consumer Rights. The person who accepts these Terms confirms they may bind you.
2How the contract is made
You sign up by filling in the form, reading these Terms and the Data Processing Agreement (DPA) on the same screen, ticking the consent box (never pre-ticked) and submitting. You can correct your entries until you submit. The contract is made when we open your account, which is our confirmation.
We record who accepted which version, when and from which IP address. On request we send you that record and the accepted text, free, within 5 working days.
Terms agreed with you individually in writing prevail over these Terms, and the DPA prevails on personal data.
3The service
Tavazi is a service we host and run. While the contract lasts, you and your users have access to it over the internet for your own accommodation business; this access is not exclusive and you may not pass it to anyone else. No copy of the software is delivered to you and no licence to it is granted.
Plans. The plan (Start, Grow or Enterprise) decides the features, as the plan description sets out; the size of your property decides the price. No plan limits rooms or users.
The channel manager and online guest payments work only once you connect your own account with that supplier. Its terms and fees are between you and it. We take no commission on your direct bookings.
Trial. Any plan is free for 30 days. At sign-up you bind a card on the payment provider's page; GEL 1 is held to check it and returned at once. We write to you 7 days before the trial ends. On its last day the first invoice, at your plan's rates and on the billing cycle you chose, is charged to the card, unless you cancelled before (section 13). A card that has already had a free period on another account gives none: with it, the paid plan starts on the day it is bound. If no card is bound, the account works for 14 more days with a warning and then becomes read-only (section 5). No data is deleted.
Sleep mode. A property closed for the season can switch to sleep mode for 25 % of its monthly price, at least GEL 9 and at most GEL 29. Guests can still book dates after reopening.
A change that materially reduces a feature you use is a material change under section 14.
4Fees and invoices
Prices are in Georgian lari (GEL) and are the total you pay: any VAT is included. If we register for VAT, your price does not rise.
For each property you pay a monthly base fee plus a fee per sleeping unit, at the rates of the billing cycle you chose, as shown in the price list and your account. A sleeping unit is a room or apartment; a bed in a shared dorm is a quarter of a unit; parking, meeting rooms and similar resources are free. Units are counted when the invoice is issued: on monthly billing a unit added during the month is charged from the next invoice; on yearly billing units added during the year are charged once a month, for the rest of the year.
Plan change. The unused part of the old plan is credited, and the new plan is charged from the day of the change.
Billing cycle. You choose monthly or yearly billing in your account and can change it at any time; the change applies from the next invoice. Yearly billing is invoiced for 12 months at the yearly rates of the price list, which are lower than the monthly ones.
Discounts. The third and every further property in one account costs 20 % less.
Invoices are issued in advance, as a PDF in your account. You pay by bank transfer to the account printed on the invoice, within 14 days. Payment counts when it reaches our account.
Card. When a card is bound, each invoice is charged to it on the day it is issued, until you cancel. If the charge is refused, we tell you, try the card again at most twice on later days, and you can pay by the card link or by bank transfer, or bind another card. On yearly billing we write to you 14 days before each renewal. You can replace the card at any time in the account settings, and remove it once the paid plan has started; without one, you pay each invoice by bank transfer or by the card link printed on it. The card number is entered only on the payment provider's page and never reaches us.
Price lock. Once your paid plan starts, changes to our published prices do not change your price. We may change your price only for the future, with at least 30 days' notice; you may leave free of charge before it applies, and then it never applies to you. If we invoice a wrong price or miss a discount, we credit the difference on the next invoice.
Late payment. We may charge 0.5 % interest per month on an overdue amount, never more in total than the debt, and none for a delay we caused.
5If an invoice is not paid
We remind the owner in writing and give at least 14 more days to pay. If the invoice is still unpaid, we may make the account read-only. This pauses our side of the contract; it is not a penalty.
In read-only mode you can still see every screen and report, export your data, check out guests who are staying, and sign out. You cannot create or change records.
We never delete data for non-payment and never use access to your data to obtain payment. Read-only mode ends within 1 working day after the full debt reaches us.
6Your responsibilities
- You are responsible for your users' passwords and actions, and tell us at once if you suspect misuse.
- You use the service lawfully and upload only data you have the right to use.
- You, not we, are the trader towards your guests. You register guests, keep any register the law requires, and set lawful, accurate prices and cancellation and refund terms. Your booking page must show what consumer law requires: who you are and how to reach you, what you sell, the full price, and the payment and cancellation terms.
- Cash registers, tax invoices and other fiscal documents for guests are your obligations; we issue none. If you accept foreign cash, you must respect the National Bank of Georgia's limits.
7Our responsibilities
Availability. We take all reasonable care to keep the service available. We promise no uptime percentage; a guaranteed level needs a signed Enterprise addendum. We announce planned maintenance in advance.
Support. A person answers 24/7, on every plan, and helps with technical questions too: within 15 minutes if the service is down or a guest cannot be checked in; within 30 minutes if channel sync, payments or the day close fail; within 1 hour if one reservation needs repair; and within 1 working day for other questions.
Security. We apply the measures described in the DPA.
Our staff enter your account only at your request or with your written permission, for the stated purpose and period. Every view of guest personal data, including ours, is logged; on request we give you your property's log within 5 working days.
8Guest data
Roles. For guests' personal data you are the controller and we are the processor, as defined in the DPA. For your staff accounts, billing and our own communications, we are the controller.
The DPA is part of this contract. It governs how we process guest data (only on your instructions), where it is kept (Germany), our sub-processors, incidents and guests' requests.
Export. The owner can download each property's data, or the whole account's in one archive, at any time, free, on every plan, during the trial and in read-only mode: every table as CSV with the real column names. Records we control ourselves or that can be computed from others are left out; on request we list them within 5 working days. Above 500,000 rows, we deliver the export by other means within 5 working days.
Retention.
- Financial documents (charges, payments, invoices, folios) are kept for the period you set for each property under your tax regime, from 3 to 10 years, and cannot be deleted before then.
- Guest identities are kept for the period you set, at least 12 months from the guest's last departure. Until you set one, we anonymise nothing (except under section 13).
- Then the guest record is anonymised, not deleted: name, contact details, date of birth, address, document and tax number are cleared, and the financial record stays intact.
9Intellectual property and your data
The software, its design, documentation and names are ours; you get only the access to the service in section 3.
Your data is yours. You allow us to store, copy, process and display it only as needed to run, back up, support and secure the service.
We use only anonymous, aggregated statistics that identify no property, customer or guest. We never use guest data to train products or models, and never sell your or your guests' data. We do not name you in advertising without your written consent. We may freely use your product suggestions.
10Payments from guests
We never receive your guests' money. Guests pay you directly: at the property, by bank transfer, or through your own payment provider, where you are the merchant. Tavazi only records the payment. Card payments happen on the bank's or payment provider's own page, and full card data never enters our systems.
If we ever offer to collect guest payments for you, that service will have its own terms, which you would accept separately.
11Confidentiality
Each of us keeps the other's confidential information secret and uses it only for this contract. This does not cover information that is public through no fault of the recipient, already known to it, lawfully received from someone else, or required by law to be disclosed. The duty lasts for the contract and 3 years after. Guest personal data is covered by the DPA, without time limit.
12Liability
Cap. Our total liability is limited to the fees you paid in the 12 months before the event, but never less than 12 months' fees at your price on the day of the event, even before any payment.
Excluded: indirect and consequential damage, lost income or bookings, harm to reputation, and third-party claims.
The cap and exclusions do not apply to intentional breach, gross negligence, harm to life or health, breach of personal data protection duties, or intentional breach of confidentiality.
We are not responsible for the data you enter, the terms you offer guests, your taxes, or outages we did not cause at banks, payment providers, channel managers, travel agencies or internet providers.
Force majeure excuses either of us. If it lasts more than 30 days, either of us may end the contract.
You compensate us for damage caused by unlawful content or data you put into the service.
13Term and ending the contract
The contract has no fixed term and no minimum period.
You may close your account at any time, in the settings or by writing to us, with no cancellation fee. The account becomes read-only at once, and you can undo the closure within 30 days. Fees already paid are not refunded, unless you leave because of our breach, a price change or a change to these Terms.
Cancelling the subscription. You can cancel the subscription at any time in the account settings, in two presses. It stops at the end of the trial or of the period already paid for; until then everything works, and nothing more is charged. From that day the account is read-only and the rules on your data below apply. You can change your mind before that day.
We may end the contract with at least 30 days' written notice.
Breach. Either of us may end the contract if the other seriously breaks it and does not put it right within at least 14 days, or at once for an intentional breach that cannot be put right, the other's insolvency, or your clearly unlawful use or use that endangers other customers' data.
Your data after the end.
- For 90 days the account stays read-only and you can export. On written request we send you a copy, free.
- Within 30 days after that, or within 30 days of your written instruction if sooner, we anonymise your guests' identities.
- Financial documents stay for the retention period you set.
- We keep our own invoices, accounting records and acceptance records, as the law requires.
- Backups roll over within 90 days and are used only to restore the service.
Dormant accounts. If there has been no activity in the account for 24 months, we write to the owner and give 60 days to take the data out. If nothing happens, we close the account and the rules above apply.
Debts, and the rules on data, confidentiality, liability and disputes, survive the end.
14Changes to these Terms
We tell the owner of a new version at least 30 days before it takes effect; you may leave free of charge before then, with a refund of fees paid for the unused period. A material change — to price, the liability cap, data processing, ending the contract or the essential scope of the service — applies to you only once you accept it. No change applies retroactively.
15Law, disputes and language
Georgian law applies. We first try to settle a dispute by negotiation for 30 days from notice. If that fails, it goes to Tbilisi City Court. If the Georgian and English texts differ, the Georgian prevails.
16Final provisions
Notices. We send notices in the app, where they count as received on the day they appear, and also by e-mail where e-mail is switched on. Keep the owner's e-mail current and read notices within a reasonable time. Write to us at info@tavazi.ge.
Transfer. You may not transfer this contract without our written consent. We may transfer it on a reorganisation or sale of our business, with notice; you may then leave free of charge. You agree now that we may transfer this contract, with all our rights and obligations, to a company we control; we tell you at least 30 days in advance, and nothing else in the contract changes.
Other. An invalid provision is replaced by the closest valid one, and the rest stay in force. These Terms, the DPA and the plan description are the whole agreement, subject to terms agreed individually. Not using a right does not waive it.
